Anthropic Pledges 5 Percent of Its Shares to a Public Fund

Reading Time : 2 minutes

Anthropic has announced a plan that could reshape how a major artificial intelligence company shares its future wealth. The maker of Claude says it will commit 5 percent of its shares to a new Anthropic Public Benefit Fund, pending approval from stockholders. The timing is hard to ignore: the company is preparing for a potentially enormous initial public offering, and the pledge arrives just weeks before investors may begin valuing its shares on public markets.

The structure is designed to expand rather than remain fixed. Anthropic says its board may add another 2 percent of shares for every 50 percent increase in the company’s value above an undisclosed baseline. In other words, the more valuable Anthropic becomes, the larger the share of the company that could be directed toward public purposes. The company has not yet revealed the baseline, the governance details, or the exact rules that would govern future increases.

What makes the announcement unusual is the fund’s legal form. Rather than creating a conventional tax-exempt charity, Anthropic plans to establish a wholly owned limited liability company. The company says that arrangement gives it flexibility to make large donations to nonprofits, distribute money directly to particular groups, or pursue other approaches. It also says none of the fund’s Anthropic equity will be used for lobbying or political donations in the United States or abroad.

The most consequential question may be what the fund will actually do. Anthropic points to artificial intelligence’s potential disruption of work as a likely focus, building on an earlier $200 million commitment to study and respond to labor-market effects. Combined with its founders’ earlier pledge to donate 80 percent of their equity and an employee matching program, the company says roughly 20 percent of its shares will be dedicated to public benefit. Still, the real test will be whether this becomes a durable mechanism for public good, or a well-timed gesture ahead of a landmark IPO.
